Specialist Agreement

This Specialist Agreement applies in addition to, and does not replace, the general Terms of Service. It governs your participation as a human coach ("Specialist") delivering paid 1:1 coaching sessions to members through NerveCoach, a platform operated by GROWTHIFY TECH LTD (company number 17323128; registered office: Dept 6899, 196 High Road, Wood Green, London, United Kingdom, N22 8HH). By submitting a specialist application or accepting paid sessions on NerveCoach, you agree to the terms below.

Specialists are independent contractors, not employees, partners, or agents of GROWTHIFY TECH LTD. You are responsible for your own taxes, insurance, and compliance with any professional or licensing requirements that apply to the coaching services you offer. Nothing in this Agreement creates an employment, partnership, or joint-venture relationship.

Before your first paid session, you must complete identity verification (KYC) and pass sanctions screening. GROWTHIFY TECH LTD may decline, suspend, or terminate your specialist status at any time if verification cannot be completed, if you are located in or a national of a jurisdiction subject to applicable trade or financial sanctions, or if screening otherwise fails.

Members book and pay for sessions using NerveCoach credits drawn from their account balance. Your earnings accrue in your specialist balance as sessions are completed. Payouts are requested by you through your specialist dashboard and are manually reviewed and fulfilled by GROWTHIFY TECH LTD outside the app; they are not processed automatically or instantly. GROWTHIFY TECH LTD may apply a service fee to session payments; the fee or split that applies to you is the one disclosed to you at the time you accept a session or in your specialist dashboard.

If your specialist status is terminated or you close your account, any balance you have earned from completed sessions but have not yet been paid out remains payable to you on request, subject to GROWTHIFY TECH LTD's standard identity-verification and fraud-prevention checks. Termination does not cancel a payout request already submitted and approved.

You agree to conduct sessions professionally, to coach only within the specialty you were approved for, and not to solicit members to pay or transact outside the NerveCoach platform. GROWTHIFY TECH LTD may suspend or remove specialists for misconduct, misrepresentation of credentials, or violation of this Agreement or the general Terms of Service.

Materials you create specifically to deliver a session (e.g., session notes) remain your property, subject to a limited license for GROWTHIFY TECH LTD to operate the platform and process member bookings. The NerveCoach name, brand, software, and AI coaching technology remain the sole property of GROWTHIFY TECH LTD.

This Agreement is governed by the laws of England and Wales, consistent with the general Terms of Service. Questions about this Specialist Agreement can be sent to support@nervecoach.app.
